Terms of service

 

1. Introduction

Welcome to Pharmaoffer, a global B2B platform designed for the pharmaceutical industry. Pharmaoffer connects professionals and organizations with suppliers of pharmaceutical products and services, including (but not limited to) active pharmaceutical ingredients (APIs), contract development and manufacturing services (CDMOs), regulatory data, market insights, and audit reports.

By using Pharmaoffer, you agree to these Terms of Service (“Terms”), which govern your access to and use of our website, applications, tools, subscription services, advertising solutions, data products, and any additional features we may offer (collectively, the “Services”).

Pharmaoffer B.V. is a company registered in the Netherlands. All references to “Pharmaoffer,” “we,” “our,” or “us” refer to Pharmaoffer B.V.

 

2. Our Role

Pharmaoffer provides a platform to facilitate connections, visibility, and transactions between professionals and organizations in the pharmaceutical industry. We offer tools to help users discover suppliers, source products, access market data, communicate, and in some cases, purchase products or services directly through the platform.

While we conduct certain checks to maintain platform quality, users are solely responsible for their own due diligence, including verifying information, certifications, compliance, and the suitability of any products,, companies (buyers and/or suppliers), or services. Pharmaoffer does not control, endorse, or guarantee the legality, quality, safety, or availability of any listing or user.

Pharmaoffer reserves the right to edit, modify, or remove any content, profiles, or listings at our sole discretion to protect the integrity of the platform and its users.

 

3. User Accounts and Responsibilities

By creating an account or using Pharmaoffer, you agree to:

  • Provide accurate, current, and complete information.
  • Keep your account credentials confidential and secure.
  • Comply with all applicable laws and regulations.
  • Use Pharmaoffer only for lawful purposes, and not for spam, infringement, fraud, or other harmful activities.
  • Respect the intellectual property and rights of the platform and all its users.
  • Conduct your own due diligence before entering into agreements or transactions.

 

4. Content and Intellectual Property

You retain ownership of your content (e.g., listings, profiles, logos). By providing content to Pharmaoffer, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, and promote your content for the purpose of operating and marketing the platform.

Pharmaoffer may remove or modify any content at any time if it violates our policies, legal obligations, or the integrity of the platform.

 

5. Payment Terms

Pharmaoffer offers subscription-based services, advertising options, and additional products or services (such as audit reports) for purchase.

  • Subscriptions may be monthly or annual as specified at purchase.
  • Subscription fees are non-refundable. You may cancel at any time, but your access will continue until the end of the current billing period.
  • Renewal reminders are sent one month before the renewal date.
  • Additional services or products may have specific terms provided at purchase.

 

6. User Conduct and Restrictions

You may not:

  • Post or transmit false, misleading, or illegal content.
  • Create multiple accounts without permission.
  • Scrape, copy, or harvest data from Pharmaoffer without prior written authorization.
  • Use Pharmaoffer for unlawful purposes, including violating export control laws or intellectual property rights.
  • Attempt to interfere with the platform’s operation or security.

 

7. Limitation of Liability

Pharmaoffer is provided “as is” without warranties of any kind. We do not guarantee the accuracy, completeness, legality, safety, or suitability of any content, products, companies or services listed on the platform.

To the fullest extent permitted by law:

  • Pharmaoffer disclaims all warranties, express or implied.
  • Pharmaoffer is not liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, business interruption, or loss of data.
  • Pharmaoffer’s total liability is limited to the amount you paid to Pharmaoffer in the 12 months prior to the claim.

 

8. Indemnification

You agree to indemnify and hold harmless Pharmaoffer, its directors, employees, and affiliates from any claims, damages, losses, liabilities, or expenses (including legal fees) arising from your use of the platform, your content, or your violation of these Terms or applicable laws.

 

9. Force Majeure

Pharmaoffer is not liable for delays or failures in performance due to causes beyond our reasonable control, including but not limited to natural disasters, pandemics, cyberattacks, power outages, or government actions.

 

10. No Agency or Partnership

Your use of Pharmaoffer does not create any agency, partnership, joint venture, employment, or franchise relationship. You act independently and at your own risk.

 

11. Third-Party Services

Pharmaoffer may integrate or link to third-party services (e.g., payment gateways, analytics tools). We are not responsible for these third-party services and disclaim all liability arising from their use.

 

12. Changes to the Services

Pharmaoffer may update, modify, or discontinue any part of the Services, including pricing models, features, or platform functionality, at any time. We will provide notice where required by law. Your continued use of the platform after such changes constitutes your acceptance of the updated Terms.

 

13. Dispute Resolution

These Terms are governed by the laws of the Netherlands. The parties will first attempt to resolve any dispute through good-faith negotiation and mediation. If unresolved, the dispute will be referred to binding arbitration in accordance with the rules of the Netherlands Arbitration Institute.

 

14. Final Provisions

  • If any part of these Terms is found unenforceable, the rest remains in effect.
  • Failure to enforce any right or provision does not waive it.
  • Pharmaoffer may assign these Terms without restriction.
  • These Terms constitute the entire agreement between you and Pharmaoffer.
